UAE Corporate Tax, introduced under Federal Decree-Law No. 47 of 2022 and effective for financial years starting on or after 1 June 2023, created a direct link between a company’s accounting records and its tax liability. The standard corporate tax rate is 9 percent on taxable income above the AED 375,000 threshold, with a 0 percent rate below it.

That link raises the stakes on data quality. Under Article 56 of the Corporate Tax Law, every taxable person must keep accounting records and supporting documents for seven years from the end of the relevant tax period. The Federal Tax Authority, or FTA, can request these records during a review or audit, and a business that cannot produce clean, reconciled data is exposed to penalties and to upward adjustment of its taxable income.

Under Ministerial Decision No. 84 of 2025, which replaced the earlier Ministerial Decision No. 82 of 2023 for financial years beginning on or after 1 January 2025, a taxable person that is not part of a tax group and has revenue exceeding AED 50 million during the relevant tax period must prepare and maintain audited financial statements. Qualifying Free Zone Persons, or QFZPs, must prepare audited financial statements regardless of revenue in order to defend the 0 percent corporate tax rate on their qualifying income.

Tax groups face their own rule. Under FTA Decision No. 7 of 2025, tax groups must prepare audited special purpose aggregated financial statements, audited in line with International Standards on Auditing, and submit them to the FTA within nine months of the end of the tax period.

These audited statements must be prepared under International Financial Reporting Standards, known as IFRS, or IFRS for SMEs for smaller entities, and audited by an auditor licensed in the UAE and registered with the Ministry of Economy. Separately, most mainland companies fall under the UAE Commercial Companies Law requirement to maintain proper accounting records, and many free zones impose their own audit filing deadlines. DMCC companies, for example, must submit audited financial statements within 180 days of their financial year end, while DIFC, JAFZA, DAFZA, Dubai World Central and Dubai Silicon Oasis each apply their own timelines.

Small businesses are not left out of the picture. A taxable person with revenue of AED 3 million or less may elect for Small Business Relief for tax periods ending on or before 31 December 2026, and is then not required to prepare audited financial statements. Even so, it must keep proper books and records, which the FTA can inspect at any time.

E-invoicing: the next major software driver

The most significant near-term change to the software conversation in Dubai is mandatory electronic invoicing. Introduced through Ministerial Decisions No. 243 and No. 244 of 2025, the UAE e-invoicing framework requires invoices to be created, exchanged and stored in a structured digital format rather than as PDFs, scans or paper.

The system uses the PINT AE standard, a UAE-specific version of the international Peppol specification, and routes invoices through Accredited Service Providers under a decentralised model, while key tax data is reported to the FTA in near real time. The rollout is phased. A voluntary phase opens from 1 July 2026. For businesses with annual revenue of AED 50 million or more, the deadline to appoint an Accredited Service Provider was extended to 30 October 2026, with mandatory e-invoicing from 1 January 2027. Businesses below that threshold follow later, with e-invoicing becoming mandatory from 1 July 2027.
